Careping may re-verify information at any time and may require fresh documents

6.6 Minimum Patient Refund Commitment

Where Careping publishes the 15-calendar-day refund commitment, the applicable language shall be:

These Terms, together with the executed onboarding documents, schedules, commercial terms and policies expressly incorporated by reference, constitute the agreement between Careping and the Professional concerning the subject matter hereof and supersede prior oral or written understandings on that subject, except for any separately executed agreement expressly stated to prevail.

If any provision is held invalid, illegal or unenforceable by a competent authority, that provision shall be modified or severed only to the minimum extent necessary, and the remaining provisions shall continue in full force to the extent permitted by Applicable Law.

Failure or delay by Careping in exercising any right or remedy shall not constitute a waiver. Any waiver must be express and shall apply only to the specific instance for which it is given.

Where a third party makes a claim against Careping arising substantially from the Professional's fraud, wilful misconduct, unauthorised representation, breach of confidentiality, infringement, unlawful conduct or breach of these Terms, the Professional shall, to the extent permitted by Applicable Law, cooperate in the defence and indemnify Careping for finally determined losses, reasonable costs and liabilities attributable to the Professional's conduct.no indemnity shall extend to losses caused by Careping's own non-excludable wrongdoing.

Nothing in these Terms requires a Professional to act contrary to Applicable Law, professional ethics, a binding regulatory direction or an emergency duty. Where an operational instruction conflicts with such mandatory requirement, the Professional shall follow the mandatory requirement and notify Careping as soon as reasonably practicable.
